Lanxess prepares exit from Envalior

The group triggers its right to sell its minority stake to Advent International, with a potential transaction in 2026 and mandatory exit terms by 2028.

envalior headquarterOn September 23, 2025, Lanxess announced that it will exercise its contractual right to offer to sell its entire 40.94% stake in Envalior to its joint venture partner, an investment company of Advent International, at a base purchase price of approximately €1.2 billion.

This amount reflects the residual valuation of Lanxess’ High Performance Materials division, contributed two years ago to establish the joint venture in high-performance polymers.
Potential adjustments to the purchase price will depend on the development of Envalior’s EBITDA in the twelve months preceding completion of the sale.
