Grupa Azoty reopens talks with Orlen on polyolefins

New annex invites analysis of full or partial disposal of GA Polyolefins equity to stabilise finances and complete the Polimery Police plant; no binding obligations under the MoU.

polymer police plant Grupa Azoty has resumed negotiations with Polish oil and chemicals group Orlen over the potential partial or full disposal of the stakes held by Grupa Azoty and Grupa Azoty Police in the joint venture Grupa Azoty Polyolefins, owner of the Polimery Police propylene and polypropylene plant completed two years ago.

The move follows the signing of an annex to the memorandum of understanding originally agreed on 1 August 2025 by Grupa Azoty, Grupa Azoty Police, Grupa Azoty Polyolefins and Orlen. The annex expands the scope of cooperation beyond the possible sale of selected logistics assets, previously discussed under the MoU.

“We have expanded the framework of cooperation to include a possible transaction involving the sale of Grupa Azoty Polyolefins shares, which opens up additional opportunities for all parties to the memorandum. For Grupa Azoty, this represents a chance to stabilize the financial situation of Grupa Azoty Polyolefins and complete the Polimery Police project,” said Andrzej Skolmowski, president of the management board of Grupa Azoty.

The memorandum of understanding does not impose any obligation on the parties to conclude a transaction or submit a binding offer. Any potential transaction under the MoU will require obtaining approvals from GA Polyolefins’ financing institutions, other shareholders of GA Polyolefins, administrative authorities, the release of security interests established over the relevant assets, and the necessary corporate approvals.
