CD&R to acquire Sealed Air in $10.3 billion deal

The U.S. packaging giant will go private as part of a transaction that values its shares at a 41% premium and supports long-term strategic growth.

sealed air film air bubbleSealed Air, one of the world’s leading multinational companies in the food and protective packaging sector, has signed a definitive agreement to be acquired by investment fund Clayton, Dubilier & Rice (CD&R) in a deal valued at $10.3 billion.

Under the agreement, Sealed Air shareholders will receive $42.15 per share, a price that represents a 41% premium over the stock’s value in August 2025 — before speculation began about a potential sale — and 24% higher than the average price over the previous three months.
